  BYLAWS

 

  

ARTICLE 1 – NAME

 

The name of this organization shall be Republican Women’s Club of Livingston County.

 

ARTICLE II – MISSION STATEMENT

 

Promote Republican ideals through education, active community and political involvement.

 

ARTICLE III – OBJECTIVES

 

The objective of our membership is to actively promote and support community activities that exemplify Republican values.

                                

                        ARTICLE IV – MEMBERSHIP

 

Membership in this Club shall be open to all women residing in Livingston County and/or who subscribe to the above objectives.

 

Associate Membership is open to men of Livingston County and/or who subscribe to take above objectives, but they cannot vote nor hold office.

 

ARTICLE V – OFFICERS AND DUTIES

 

The officers of this Club shall consist of a President, a Vice-President, a Secretary, a Treasurer and the immediate past President who together make up the Board of Directors.

 

Their term of office shall be for 1 year beginning January 1st following their election through December 31st.  This can be waived by membership in attendance at regular meeting.

 

The President shall preside at meetings and shall be responsible for such organization of the Club as is necessary to carry out the objectives of the Club.  The President shall appoint and remove chairmen of committees on the advice and consent of the Board of Directors.  The President shall be an ex-officio member of all committees.

 

The Vice-President shall be the Program Chairman, who shall organize a program committee.  This committee shall propose each year a schedule of programs for the approval of the membership and shall see that these programs carry out the objectives of the Club.  The Vice-President shall preside at meetings in the absence of the President.

 

The Secretary shall be responsible to see that minutes of business meetings are kept and made available to the membership, and shall handle all the correspondence of the Club.

 

 

 

The Treasurer shall:

Take care of money paid to the Club and deposit such money in a bank designated by the Board of Directors.

Pay all bills of the Club as budgeted or authorized by the membership.

Keep complete and accurate records of money taken in and paid out – such records shall be open to inspection by the members.

Prepare and present an annual report at the end of each year.

 

All officers and all committee chairmen shall deliver all records, files and properties of the Club to their successors.  (An annual report of each officer and committee chairman shall be placed on file at the discretion of the Board and recorded in the minutes.)

 

                            ARTICLE VI – DUES

 

Annual dues shall be set by the membership with special assessments as approved by the membership.

 

Dues shall be paid to the Treasurer by January 1st of each year and new members shall pay dues upon joining the Club.  New members who join after June 30th shall pay ½ of dues.

 

ARTICLE VII – MEETINGS AND ELECTIONS

 

The regular meeting of the Club shall be determined by the membership or Board of Directors.

 

The membership shall select three members to be the Nominations Committee.  The nominating committee shall submit one nominee for each vacant office at the December meeting.  Nominations may be made from the floor following the report of the committee.  The committee shall supervise the elections.  Election is by a simple majority.

 

A vacancy of an elective office may be filled by the Board of Directors until the next election.

 

The Board of Directors shall require a quorum of 3 members and a meeting of the general membership shall require a quorum of 2 members of the Board of Directors and general membership present.

 

Meetings shall be conducted in accordance with Roberts Rules of Order.

 

ARTICLE VIII – AMENDMENTS

 

The Bylaws may be amended by a vote of 2/3 of the members present at any general membership meeting, providing written notice is sent to all members thirty (30) days in advance of such meeting.

 

ARTICLE IX – DISSOLUTION

 

In the event of the dissolution of this organization all of its assets remaining after payment of all costs and expenses shall be distributed to (our choice) RWFM or NFRW.  None of the assets will be distributed to any member or officer of this organization.

 

 

 

 

Dues for an individual member is $30.
